Welcome to TrueTym — a workforce management platform by TrueTym Inc. (“we,” “our,” “us”) that helps organizations manage attendance, payroll, shifts, and employee engagement. These Terms of Use (“Terms”) govern your access and use of the TrueTym web and mobile applications (collectively, the “Platform”).

By accessing or using TrueTym, you agree to these Terms and our Privacy Policy.If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

By creating an account or using any part of the Platform, you acknowledge that:

  •  You are at least 18 years of age;
  •  You have the authority to act on behalf of yourself or your organization; and
  •  You have read and agree to be bound by these Terms.
  •  If you are accessing TrueTym on behalf of a business, you represent that you have the authority to bind that entity.

2. Account Registration and Responsibilities

  • You must provide accurate and complete registration details.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree to notify TrueTym immediately of any unauthorized use of your account.
  • TrueTym is not liable for any loss or damage resulting from your failure to secure your account.
  • TrueTym reserves the right to suspend or terminate accounts that violate these Terms or misuse the Platform.

3. Permitted Use

You may use TrueTym only for lawful purposes, consistent with:

  • Applicable labor, employment, and data-protection laws;These Terms; and
  • You agree not to:Access, tamper with, or use non-public areas of the Platform;
    Introduce viruses, bots, or harmful code;
  • Reverse engineer or attempt to extract source code;
  • Use TrueTym for unlawful, abusive, or fraudulent purposes.

4. Subscriptions, Payments, and Refunds

  • Access to premium features requires a paid subscription.
  • Subscription fees and payment terms are specified on the Platform or your purchase order.
  • Payments are billed in advance and are non-refundable unless required by law.
  • TrueTym may modify pricing or features with reasonable notice via email or the Platform.
  • Taxes and currency conversions (if applicable) are your responsibility.

5. Data Ownership and Processing

  • Employers retain ownership of all employee and organizational data uploaded to the Platform.
  • Employees consent to data being processed by their employer through TrueTym for lawful business purposes.
  • TrueTym acts as a data processor (under GDPR) or service provider (under CCPA) for customer data.
  • We may use anonymized and aggregated data for analytics, benchmarking, and improving services.

6. Compliance with Laws

You agree to comply with all applicable laws, including:

  • India: Information Technology Act, 2000, and relevant labor laws.
  • U.S: Fair Labor Standards Act (FLSA), CCPA (California), and other applicable state/federal laws.
  • Global: GDPR (Europe) for data subjects in the European Union.

7. Intellectual Property Rights

All content, trademarks, software, and materials available through TrueTym are owned by or licensed to TrueTym.

  • You may not copy, reproduce, modify, or distribute any portion of the Platform without prior written consent.
  • Customer-uploaded logos, data, and other assets remain the property of the respective organization.

8. Third-Party Integrations

All content, trademarks, software, and materials available through TrueTym are owned by or licensed to TrueTym.

TrueTym may integrate with third-party tools (e.g., payment gateways, accounting or HR systems).
You understand that use of such services is governed by their own terms, and TrueTym is not responsible for data handled by them.

9. Confidentiality

You agree not to disclose any proprietary or confidential information of TrueTym, including software, documentation, or business processes, except as authorized in writing.

10. Limitation of Liability

To the fullest extent permitted by law:

  • TrueTym is not liable for any indirect, incidental, consequential, or punitive damages.
  • Our total liability for any claim shall not exceed the amount paid by you in the preceding three (3) months.
  • We are not responsible for any loss due to inaccurate data entered by users or integration errors from third-party systems.

11. Indemnification

You agree to indemnify, defend, and hold harmless TrueTym, its affiliates, officers, and employees from any claims, liabilities, or damages arising from:

  • Your breach of these Terms;
  • Your misuse of the Platform; or
  • Your violation of any applicable law or third-party rights.

12. Termination

TrueTym may suspend or terminate your account immediately if:

  • You violate these Terms;
  • Required by law or regulatory authority; or
  • Your subscription expires and is not renewed.
  • Upon termination, your right to use the Platform ceases immediately. Certain obligations (e.g., payment, confidentiality, indemnification) will survive termination.

13. Changes to Terms

We may revise these Terms periodically. Updated Terms will be posted on the Platform and effective immediately upon posting. Continued use of TrueTym constitutes acceptance of the new Terms.

14. Governing Law & Jurisdiction

Depending on your location:

  • For Indian customers: These Terms shall be governed by the laws of India, and disputes shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
  • For U.S. and international customers: These Terms shall be governed by the laws of the Commonwealth of Kentucky, USA, without regard to conflict-of-law principles, and disputes shall be subject to the courts located in Louisville, Kentucky.
